1. Definitions

In these Terms:

• "Rezy," "we," "us," or "our" refers to Rezy and its subsidiaries, affiliates, officers, directors, employees, agents, and contractors.
• "User," "you," or "your" refers to any individual or entity that accesses or uses our Services.
• Tenant refers to a User who uses our Services to make rental payments.
• "Landlord" refers to a User who receives rental payments through our Services.
• "Property" refers to real estate that is subject to a rental agreement.
• "Content" refers to text, graphics, images, music, software, audio, video, information, or other materials.

2. Eligibility

To use our Services, you must be at least 18 years old and capable of forming a binding contract with Rezy. You represent and warrant that you meet these requirements and that you are not prohibited from using our Services under applicable law.

If you are using our Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" will refer to that entity.

3. Account Registration and Security

To access certain features of our Services, you may need to register for an account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account if any information you provide is inaccurate, false, or incomplete, or if you violate these Terms or applicable laws.

4. Services Description

4.1 Rental Payment Services

Rezy provides a platform that allows Tenants to pay their rent in monthly installments, regardless of their Landlord's payment terms. We collect monthly payments from Tenants and disburse payments to Landlords according to the agreed-upon schedule (e.g., 1, 2, or 4 cheques per year).

4.2 Service Fees

Tenants agree to pay a service fee for using our Services. The service fee varies based on the Landlord's cheque requirements:

• 1 Cheque (Yearly): 6% of monthly rent
• 2 Cheques (Bi-annually): 4% of monthly rent
• 4 Cheques (Quarterly): 3.2% of monthly rent

Service fees are subject to change. Any changes to our fee structure will be communicated to you in advance.

4.3 Payment Processing

By using our Services, you authorize us to charge your designated payment method for the amounts due. You agree to maintain valid payment information in your account and to pay all fees and charges incurred by your account.

If a payment is not successfully processed due to expiration, insufficient funds, or otherwise, you remain responsible for any uncollected amounts and authorize us to continue billing the payment method you have specified, as it may be updated.

5. User Responsibilities

5.1 Tenant Responsibilities

As a Tenant using our Services, you agree to:

• Provide accurate and complete information about yourself and your rental agreement
• Make all required monthly payments on time
• Comply with the terms of your rental agreement
• Notify us promptly of any changes to your rental agreement or payment information
• Maintain sufficient funds in your designated payment account to cover your monthly rental payments and service fees

5.2 Landlord Responsibilities

As a Landlord using our Services, you agree to:

• Provide accurate and complete information about yourself and your property
• Comply with the terms of the rental agreement
• Notify us promptly of any changes to the rental agreement or your payment information
• Provide necessary documentation to verify your ownership or management of the property
• Fulfill your obligations as a landlord under applicable laws and regulations

6. Prohibited Activities

You agree not to:

• Use our Services for any illegal purpose or in violation of any local, state, national, or international law
• Violate or encourage others to violate the rights of third parties, including intellectual property rights
• Attempt to circumvent any security or verification measures or interfere with the proper working of our Services
• Use our Services to transmit any viruses, malware, or other types of malicious software, or any material that is defamatory, offensive, or otherwise objectionable
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
• Collect or store personal data about other users without their express permission or engage in any form of data mining or data extraction
• Use our Services in any manner that could disable, overburden, damage, or impair our Services or interfere with any other party's use of our Services

7. Intellectual Property Rights

Our Services and all Content included on or through our Services are the property of Rezy or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services and Content for your personal, non-commercial use, subject to these Terms.

You may not copy, modify, distribute, sell, or lease any part of our Services or Content, nor may you reverse engineer or attempt to extract the source code of our software, unless applicable laws prohibit these restrictions or you have our written permission.

8. User Content

You retain ownership of any Content you submit, post, or display on or through our Services ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods.

You represent and warrant that you own or have the necessary rights to grant us the license to use your User Content and that your User Content does not violate the rights of any third party or any applicable law or regulation.

9. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us at hello@getrezy.com. Upon termination, your right to use our Services will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT OR SERVICES PROVIDED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REZY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE AMOUNT PAID BY YOU TO REZY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

12. Indemnification

You agree to defend, indemnify, and hold harmless Rezy, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from or relating to:

• Your use of and access to our Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in Dubai, United Arab Emirates, in accordance with the rules of the Dubai International Arbitration Centre.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief to protect our intellectual property rights in any court of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rezy regarding our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning our Services.
